Limitation of Liability

This page sets out what Qfile B.V., as the provider of OurDigitalContract, is and is not liable for. This limitation of liability supplements our Terms of Service; in case of conflict the Terms of Service prevail, to the extent they contain a further limitation and mandatory law permits it.

The service is provided as is

We make reasonable efforts to provide OurDigitalContract with care and reliability, but the service is provided as is. We give no guarantee that the service is fit for a specific purpose or that an electronic signature is sufficient in every situation. OurDigitalContract provides a simple electronic signature (eIDAS SES) and expressly not an advanced (AES) or qualified (QES) signature. You should assess yourself, and seek legal advice if in doubt, whether this level is sufficient for your document.

Limitation of liability

To the extent permitted by law, the liability of Qfile B.V. is limited to direct damages. We are not liable for indirect or consequential damages, including lost profits, lost savings, loss of data, reputational harm and damage from business interruption.

Liability cap

To the extent we are liable at all, our total liability per event and per year is capped at the amount you paid for the service in the last 12 months. A series of connected events counts as a single event.

Exceptions

The limitations on this page do not apply in the event of intent or wilful recklessness by Qfile B.V., and not to the extent that mandatory law (for example consumer law or liability that cannot be excluded by law) prescribes broader liability.

Availability

We aim for high availability, but give no guarantee of uninterrupted or error-free availability. The service may be temporarily unavailable due to maintenance, updates or incidents. Where possible we announce planned maintenance in advance. We are not liable for damage arising from temporary unavailability.

Customer obligations and indemnity

You indemnify Qfile B.V. against third-party claims arising from your use of the service in breach of the terms or the law, to the extent permitted by law.

We may amend this page. The current version is always available on this page and supplements our Terms of Service.
