Terms of Service

1Definitions
"We", "us" or "the service" refers to OurDigitalContract, offered by Qfile B.V., Chamber of Commerce (KvK) number 97758388, established at Europalaan 40, 3526 KS Utrecht. "Customer" is the organisation that uses an account. "Signer" is a person who signs a document through a signing link.
2The service
We provide software that lets you draft, send and electronically sign documents, and manage employee records and the status and a verification certificate of your documents. We make reasonable efforts to provide the service with due care, but we do not guarantee that the service is fit for any specific purpose.
3Account and access
You are responsible for keeping your login details confidential and for all use under your account. You may start with a free plan. You are responsible for ensuring that the people you give access to comply with these terms.
4Subscription and payment
OurDigitalContract offers a Free plan and the paid plans Pro, Gold and Business. Paid plans are billed monthly, or annually with two months free. Amounts stated are exclusive of VAT unless stated otherwise. Payment is processed through our payment service provider, Mollie. Qfile B.V. is the merchant of record for your purchase and handles invoicing and VAT itself; Mollie acts solely as the payment service provider. See our Merchant of Record page for details.
5Acceptable use
You do not use the service for unlawful purposes or in a way that harms the service or others. You do not use the service to send unlawful, misleading or infringing content, and you do not attempt to disrupt, reverse engineer or gain unauthorised access to the service. We may investigate misuse and suspend an account in the event of a serious breach.
6Electronic signature
The service provides a simple electronic signature (eIDAS SES). Identity is evidenced through control of an email address and a one-time signing link, and integrity through a tamper-evident attestation and an audit log. This is not an advanced (AES) or qualified (QES) electronic signature. Whether a signature is sufficient in a specific situation depends on the type of document; seek legal advice if in doubt.
7Intellectual property
The software and its design remain the property of us or our licensors. Your documents and data remain yours; you only grant us the right to process them as far as needed to provide the service.
8Privacy and data processing
We process personal data as described in our privacy policy. Where we process personal data on your behalf, we act as a processor under a data processing agreement. Each customer's data is stored in a separate database, encrypted at rest with a per-customer key (AES-256-GCM).
9Limitation of liability
The service is provided as is. To the extent permitted by law, our liability is limited, we are not liable for indirect or consequential damages, and our liability is capped. The full terms are set out on our separate Limitation of Liability page, which forms part of these terms.
10Term and cancellation
A monthly subscription can be cancelled monthly; an annual subscription runs until the end of the paid period. On cancellation, renewal stops. Refunds, the right of withdrawal for consumers and what happens to your data after cancellation are described in our Fulfillment, Refund and Cancellation Policy.
11Changes
We may change these terms and the service. We announce important changes in advance. If you continue to use the service, the amended terms apply.
12Governing law
These terms are governed by Dutch law. Disputes are submitted to the competent court in Midden-Nederland, unless mandatory law provides otherwise.
